Terms of Service

These terms govern your use of the VantageHSG website at vantagehsg.com and the VantageHSG application at ca.vantagehsg.com (together, the “service”). “VantageHSG”, “we” and “us” mean the provider of the service. “You” and “customer” mean the organization that uses the service and the people it authorizes to use it.

1. Agreement

By creating an account, signing in or otherwise using the application, you agree to these terms. If you accept them on behalf of an organization, you confirm that you have authority to bind it. If you have signed an order or other written agreement with us, that agreement prevails where it conflicts with these terms.

2. The service

VantageHSG is carbon-accounting and compliance software for manufacturers. It helps you collect source documents, calculate Scope 1, 2 and 3 emissions, prepare OBPS, EPS and CBAM information, substantiate environmental claims under Bill C-59 and produce audit-ready reports. We may improve or change features over time.

3. Accounts and access

• You sign in with Microsoft. Keep access to your Microsoft account secure.
• Your workspace administrators decide who has access and with which role, and are responsible for the actions of the users they invite.
• Keep API keys confidential and revoke any key you believe has been exposed.
• Tell us promptly at [email protected] if you suspect unauthorized access to your workspace.

4. Your data

You own the documents and data you or your suppliers submit to the service, and the reports produced from them (“customer data”). You grant us a non-exclusive licence to host, copy, process, transmit and display customer data only as needed to provide, secure and support the service for you, and as required by law. We do not sell customer data and do not use it to train AI models.

You are responsible for having the rights and any consents needed to submit customer data, including personal information about individuals that appears in your documents. Our Privacy Policy describes how we handle personal information.

5. Results are not professional advice

The service calculates results from the data you supply and from published emission factors. Results are not professional verification, and they are not legal or audit advice. You are responsible for reviewing all results, and for checking that they are complete and accurate, before you submit them to a regulator, verifier, customer or anyone else, or rely on them for an environmental claim.

6. AI extraction

The service uses AI to read documents and suggest values, and to answer questions in the assistant. AI output can be wrong or incomplete. You must review extracted values and assistant answers before relying on them.

7. Acceptable use

You agree not to:

• use the service in breach of any law, or to submit content you have no right to submit;
• try to access another customer’s data, or any part of the service you are not authorized to use;
• probe, scan or test the security of the service, or interfere with its operation, without our written permission;
• upload malware or send requests designed to overload the service;
• copy, resell or reverse engineer the service, except where the law allows it despite this restriction;
• use the service to send spam or to mislead anyone about the source or accuracy of results.

We may suspend access that breaches these rules or puts the service or other customers at risk. Where practical, we will tell you first and give you a chance to fix the problem.

8. Subscriptions and fees

Paid plans are billed through Airwallex at the prices, billing cycle and conditions stated on our pricing page or in your order. Prices exclude applicable taxes. Subscriptions renew for the same billing cycle until cancelled. Refunds, if any, are as stated on the pricing page or in your order. If payment fails and is not resolved after notice, we may suspend paid features. We will give notice before any price change applies to your subscription.

9. Third-party services

Sign-in uses Microsoft and payments use Airwallex. Your use of those services is also governed by their terms. We are not responsible for services we do not control.

10. Termination and data export

You may stop using the service at any time and cancel your subscription as described on the pricing page or in your order. We may end these terms if you materially breach them and do not fix the breach after notice, or immediately where the law requires it.

Before your account closes, you can export your data using the application’s export features and report downloads, or ask us for a copy. After closure we delete customer data, except information we must keep for audit or legal obligations as described in our Privacy Policy.

11. No other warranties

We will provide the service with reasonable skill and care. Except as stated in these terms or your order, the service is provided “as is”, and we make no other warranties or conditions, express or implied, including merchantability, fitness for a particular purpose or uninterrupted availability, to the extent the law allows.

12. Limitation of liability

To the extent the law allows, our total liability arising out of or relating to the service or these terms is limited to the fees you paid us for the service in the 12 months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue, even if advised that they were possible. Nothing in these terms limits liability that cannot be limited by law.

13. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction over any dispute arising from them.

14. Changes to these terms

We may update these terms. We will give customers notice of material changes by email or in the application before they take effect, and update the “last updated” date on this page. If you continue to use the service after a change takes effect, the updated terms apply.
